Small business laws

The backbone of the U.S. economy is small business. Small businesses provide approximately 75 percent of the net new jobs added to the economy, and represent 99.7 percent of all employers.

Microsoft was a small business once. So were most large companies, at some point. For any small company to grow and thrive the entrepreneurs who run it need energy, imagination and foresight. But small business owners don't have the time to immerse themselves in the paperwork and legal requirements of government because they have to do everything else: they have to manage, produce, market, and sell their product or service.

That is why they need accurate legal advice from qualified experts.

Small business laws are typically complicated and confusing to the entrepreneur, who can't devote hours to research the law. The first legal demand of a small business is to decide which type of entity the company will take -- a Subchapter S corporation or a limited liability company, for example -- and meet the requirements called for by the statutes of the state of formation so that the entity is properly formed.

Other issues small businesses need to have covered include contract drafting and negotiation (including employee contracts), employee benefits, trademarks and copyrights, debt collections, bankruptcy, real estate, mergers, and acquisitions.
